Welcome to PestShield (“we,” “us,” “our,” or “PestShield”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, products, membership plans, and any related communications (collectively, the “Services”). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

We may collect the following types of information:

You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Services Offered

We offer various pest prevention, monitoring, coaching, and integrated pest management (“IPM”) services, including but not limited to:

Residential Coverage Plan
Commercial Coverage Plan
Termite awareness & prevention Coverage Plan
Coverage Plan/Subscription plans (e.g. Core Coaching, Quarterly Reviews, etc.)

Descriptions of services, deliverables, pricing, and schedule are provided on our website. We reserve the right to modify or discontinue any service at any time, with reasonable notice where practicable.

3. Use of the Website & Content

All content on the website (text, images, graphics, video, logos, etc.) is owned or licensed by us and protected by copyright, trademark, and other proprietary rights.
You may view, download, or print content from the site for your personal, non-commercial use only. You may not reproduce, distribute, modify, transmit, reuse, or use the content for commercial purposes without our prior written permission.

4. Account & Membership

Membership plans (when applicable) may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials.
You accept responsibility for all activities that occur under your account.
Auto pay will automatically bill your credit card for the agreed monthly amount of your selected services.
Billing will continue until canceled with a 30 day notice.
We may suspend or terminate your membership/account if you violate these Terms.

5. Pricing, Payments & Refunds

All fees for our Services are as stated on the website. We reserve the right to change fees, but any change will not affect Services already agreed upon.
Payment is due in advance unless otherwise agreed.
Refunds (if any) are handled on a case-by-case basis. We may offer partial or full refunds depending on the nature of the service and timing of cancellation.

6. Cancellations & Rescheduling

You may cancel or reschedule Services or consultations by providing notice in accordance with any policy set out in your membership agreement or on our site.
Depending on the notice period, cancellation fees may apply.

7. Liability Disclaimer

While we use reasonable efforts to provide effective Solutions, we do not guarantee that pest problems or infestations will be completely prevented or eliminated.
We are not responsible for damage caused by pests that existed before you engaged our Services, or for adverse effects resulting from your failure to follow recommended preventative practices.
To the fullest extent permitted by law, our total liability under or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount you have paid us for the specific Services in question.

8. Indemnification

You agree to indemnify, defend, and hold harmless PestShield, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms;
Your misuse of the Services;
Your breach of any representations or warranties.

9. Intellectual Property

All intellectual property rights in the Services and the content delivered or displayed are owned by us or our licensors.
You are granted a non-exclusive, non-transferable, revocable license to access and use the Services for your personal or business purposes, in accordance with these Terms.

10. Privacy

Your use of the Site and our Services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review the Privacy Policy to understand our practices.

11. Changes to Terms

We may revise these Terms at any time. Updated Terms will be posted on the website with a new “Last Updated” date. Your continued use of the Services after changes have been posted constitutes acceptance of the revised Terms.

12. Governing Law, Dispute Resolution & Arbitration

These Terms are governed by and shall be construed in accordance with the laws of the State of Nevada, United States. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in North Las Vegas, Nevada, unless otherwise agreed by both parties.

By using our Services, you agree that any dispute must be handled on an individual basis and not as part of a class action or collective lawsuit. You also agree to waive your right to a jury trial.

All disputes will be submitted to final and binding arbitration under the rules of the American Arbitration Association (AAA) or another mutually agreed arbitration provider. The arbitration will take place in North Las Vegas, Nevada, and the arbitrator’s decision will be enforceable in any court of competent jurisdiction.

If you do not agree with these terms, you may choose not to use our Services. Message and data rates may apply.

13. Severability

If any provision of these Terms is found invalid or unenforceable under applicable law, such provision shall be struck, and the remainder of the Terms shall continue in full force and effect.

14. Entire Agreement

These Terms (together with any membership agreement, service agreement, or other documents expressly incorporated) constitute the entire agreement between you and PestShield concerning your use of the Services, and supersede all prior or contemporaneous understandings and agreements.
